Effective on November 12, 2009, pursuant to an agreement and plan of merger dated September 1, 2009 (the Merger Agreement), the Company, WI Acquisition, Inc., a wholly owned subsidiary of the Company, and MedX Systems, Inc. (MedX Systems), MedX Systems merged with and into WI Acquisition, with WI Acquisition surviving the merger, and became a wholly owned subsidiary of the Company. In June 2010, the Company acquired 51% interest in WellCity, Inc.
